RECITALS
Inventors
have invented certain new improvements relating to ____________________

for a letters patent. Assignee desires
to acquire the entire right, title, and interest in this application, in the
invention and any improvements thereon, and in any letters patent that may be
granted thereon. Therefore, in
consideration of the foregoing recitals and the promises and obligations that
follow, the parties agree as follows:
SECTION ONE: ASSIGNMENT
For
consideration in the amount of $1.00 plus other valuable consideration,
inventors assign to assignee the entire right, title, and interest in the
application, invention, and any improvements thereon, and in any letters patent
that may be granted thereon.
SECTION TWO: COOPERATION
Investors
must cooperate with the assignee so that assignee may fully enjoy the rights
assigned herein. This duty includes the
duty to promptly execute any necessary papers and to cooperate in any
proceedings relating to the patent application, in priority contests,
interferences and the like.
SECTION THREE: PARTIES BOUND
The
assignee and its successors, assigns or other legal representatives will have
the benefit of the terms, covenants and provisions of this assignment while the
inventors and their heirs, legal representatives or assigns will be bound by
these terms, covenants, and provisions.
SECTION FOUR: INVENTORS WARRANTY
Inventors
warrant that they have not entered into any assignment, contract, or
understanding which would conflict with this assignment.
