ASSIGNMENT OF APPLICATION

On ______________________ (Date), this assignment was made by _______________  (Name and Address of Administrator or Executor) (hereinafter referred to as administrator (or executor)) to _____________________________________________ (Name and Address of Corporation), a corporation organized under the laws of the State of __________________________________, (hereinafter referred to as assignee).

RECITALS

 

___________________________________________ (Deceased’s Name), who is now deceased, invented certain new improvements concerning _______________________ (Subject of Invention) during _____ (his or her) lifetime.  ________________________ (Executor or Administrator) is going to apply for a letters patent on that invention.  The invention is described and identified by the specification in an application which was executed on _______________________________ (Date).  Attached is a copy of that specification.  ________________________________ (Executor or Administrator) is now the sole and exclusive owner of the application and the inventions described and claimed in the specification, and of all rights in the inventions.  Further, assignee desires to acquire the entire right, title, and interest in the application, the invention and improvements thereon, and in any letters patent thereon when granted.  In consideration of the foregoing recitals and the mutual promises and duties set forth below, the parties agree as follows:

 

SECTION ONE:  ASSIGNMENT

 

In consideration of $ _________ received by ________________________ (Executor or Administrator), ________________________________ (Executor or Administrator) assigns to assignee the entire right, title, and interest in the application and the invention, and in any improvements on the invention, and in any letters patent on the invention and the improvements that may be granted. 

 

SECTION TWO:  COOPERATION

 

_________________________ (Executor or Administrator) agrees to cooperate with assignee so that assignee may fully enjoy the assigned rights.  This duty includes the duty to cooperate in any proceedings relating to the patent application, in priority contests, interferences and the like.

 

SECTION THREE:  PARTIES BOUND

 

The terms, covenants, and conditions of this assignment are binding on the ___________________________ (Executor or Administrator), the estate and the heirs of __________ (Name of the Deceased).  Similarly, the assignee, assignees successors, assigns, and other legal representatives may have the benefit of the terms, covenants and conditions of this assignment. 

 

SECTION FOUR:  WARRANTY

 

____________________________________ (Executor or Administrator) warrants that __________ (he or she) has not entered into any assignment, contract, or understanding which conflicts with this assignment.
